TERMS AND CONDITIONS

1. Definitions

“Company” means Qubicle Innovations Pvt Ltd. “Client” means the party engaging Company for services. “Services” refers to IT consultancy, custom software development, cloud architecture, and related services as outlined in the engagement documentation or statement of work.

2. Scope of Work
  • The Company will deliver consulting and software development services as detailed in the proposal, quotation, or statement of work agreed with the Client.
  • Specific deliverables, timelines, and methods will be described in the project documentation, which shall form an annexure to these Terms and Conditions.
3. Deliverables & Acceptance
  • Upon completion, all deliverables shall be submitted in the format reasonably acceptable to the Client.
  • Deliverables are subject to review; reasonable revisions may be requested per the agreed engagement terms.
4. Compensation & Payment Terms
  • All fees, charges, and expenses shall be as specified in the engagement documentation.
  • Payment shall be made via agreed methods, invoices payable within thirty (30) days of receipt unless otherwise stated.
  • All applicable taxes are the responsibility of each party as per statutory obligation.
5. Intellectual Property
  • Ownership of custom-developed software or materials will be as defined in the statement of work—by default, the Client shall have a perpetual, non-exclusive license to use deliverables for business purposes.
  • Third-party software/utilities incorporated will be appropriately licensed and disclosed.
6. Confidentiality
  • Both parties shall maintain strict confidentiality of proprietary information and data exchanged for the purpose of the engagement.
  • Confidential obligations continue beyond termination for a period as defined in the agreement, or three (3) years if unspecified.
7. Liability & Indemnity
  • The Company will deliver services professionally and make reasonable efforts to meet project objectives.
  • The Company’s aggregate liability shall be limited to the total fees paid by the Client for the services rendered.
  • Neither party shall be liable for indirect, incidental, or consequential damages.
8. Term & Termination
  • These terms commence on the date of acceptance of the work order, proposal, or invoice.
  • Either party may terminate for breach with thirty (30) days written notice, subject to settlement of outstanding payments for completed work.
  • On termination, all due fees and outstanding invoices must be settled.
9. Governing Law
  • These Terms and Conditions will be governed by and construed in accordance with the laws of India.
  • Disputes shall be subject to the exclusive jurisdiction of courts in the city of the Company’s registered office.
10. Miscellaneous
  • Any changes or waivers must be made in writing and signed by authorized representatives of both parties.
  • These Terms and Conditions form the basis of all contracts for IT consultancy and development services unless superseded by a more specific agreement
